Mergers & AcquisitionsExperience
- Advising a Taiwanese Semi-Conductor Corporation on its acquisition of an Egyptian company in a multi-million-dollar transaction. We have assisted with the Share Purchase Agreement and all issues pertaining to the transaction in Egypt and in the UAE.
- Acting as the legal advisor for Wafra 2 in Saudi Arabia on all their transactions in the MENA Region. We assist with preparing the transaction documents for both convertible rounds and priced equity rounds. We also assist with any due diligence exercises needed for such transactions. We have assisted with eight (8) transactions during the year 2024 in Saudi Arabia, UAE, and Egypt.
- Advising Dotdigital on their due diligence on one of their targets who has operations in Egypt.
- Assisting Norrsken22 South African Fund on its due diligence on a MENA-based company. We have helped with all due diligence aspects for such transactions in Saudi Arabia, UAE, and Egypt.
- Assisting LoftyInc. African Fund on its due diligence on a MENA-based company. We have helped with all due diligence aspects for such transactions in Saudi Arabia and Egypt.
- Advising the minority shareholders of Coca-Cola Egypt on the exit strategy in a recent acquisition.
- Advising a Chinese Corporation on acquiring several targets within the Arab Republic of Egypt.
- Advising Kintetsu World Express, Inc. on the $1.2 billion acquisition of APL Logistics Egypt. Our work included conducting due diligence on the Egyptian subsidiary of the target company in Singapore and advising on the legal regime governing business in Egypt.
- Advising on the transfer of quotas of Schick Egypt LLC (an Energizer Company subsidiary), including drafting the relevant quota transfer agreements and effecting such transfer before the concerned authorities.
- Advising a major Global Financial Services Company on its bid to acquire an Egyptian financial services company. Our work included conducting a full due diligence, advising on regulatory aspects, and negotiating the transaction documents.
